poLight ASA – results of the Subsequent Offering

Reference is made to previous announcements by poLight ASA (the "Company") regarding a subsequent offering of 181,818 new shares in the Company (the "Subsequent Offering" and the "Offer Shares"), each with a par value of NOK 0.20, and each Offer Share at a subscription price of NOK 55. Reference is furthermore made to the resolution by the general meeting of the Company on 28 May 2020 regarding the share capital increase pertaining to the Subsequent Offering.

The subscription period for the Subsequent Offering expired at 16:30 CEST on 16 June 2020. 

At the expiry of the subscription period, the Company had received subscriptions for a total of 260 610 Offer Shares, implying oversubscription of approximately 78 792 Offer Shares. The Subsequent Offering consequently raised gross proceeds to the Company of approximately NOK 10 million.

The final allocation of the Offer Shares in the Subsequent Offering has now been completed based on the allocation criteria resolved by the Company's general meeting on 28 May 2020 and described in the prospectus prepared by the Company dated 29 May 2020 (the "Prospectus").

Notifications of allocated Offer Shares and the corresponding subscription amount to be paid by each subscriber are expected to be distributed on 17 June 2020. Payment for the allocated shares falls due on 18 June 2020 in accordance with the payment procedures described in the Prospectus.

Subject to timely payment of the entire subscription amount in the Subsequent Offering, the Company expects that the share capital increase pertaining to the Subsequent Offering will be registered with the Norwegian Register of Business Enterprises on or about 24 June 2020 and that the Offer Shares will be delivered to the VPS accounts of the subscribers on or about the same date, and that the Offer Shares will be tradable on the Oslo Stock Exchange from on or about 25 June 2020.
