poLight ASA: New share capital registered following private placement
Tønsberg, 4 June 2025: Reference is made to the stock exchange announcement by poLight ASA (the "Company") published on 15 April 2025 regarding the strategic investment agreement entered into with Q Technology (Group) Company Limited ("Q Tech"), pursuant to which the Company was set to issue 63,743,112 new shares (the "Private Placement Shares") to Q Tech at a subscription price of NOK 2.69 per share (the "Private Placement"), and the stock exchange announcement on 21 May 2025 regarding the Company's annual general meeting resolving to, inter alia, approve the share capital increase pertaining to the Private Placement.
The share capital increase pertaining to the Private Placement has been registered today with the Norwegian Register of Business Enterprises. Accordingly, the Company's new share capital is NOK 7,734,588.68 divided into 193,364,717 shares, each with a nominal value of NOK 0.04.
The Private Placement Shares will be issued under a temporary ISIN and will not be tradable on the Oslo Stock Exchange until the Company has published a listing prospectus for such shares approved by the Financial Supervisory Authority of Norway (Finanstilsynet), which is expected to occur during June 2025.
