poLight ASA: Share capital increase registered

Reference is made to previous stock exchange announcements from poLight ASA ("poLight" or the "Company") regarding the partially underwritten rights issue of minimum 56,313,623 new shares and maximum 69,305,075 new shares (the "Offer Shares") in the Company, to raise gross proceeds of up to NOK 160 million (the "Rights Issue"), of which an underwriting consortium had agreed to underwriter subscription of Offer Shares for gross proceeds of NOK 130 million. Reference is further made to the stock exchange notice published on 14 May 2024 regarding a resolution to increase the share capital for settlement of underwriting commission to certain of the underwriters through the issuance of 2,928,299 new shares (the "Fee Shares") to the underwriters of the Rights Issue.

The share capital increases relating to the issuance of the Offer Shares and the Fee Shares have now been registered with the Norwegian Register of Business Enterprises. The share capital has been increased with NOK 2,536,402.28 through the issuance of 63,410,057 new shares.

The new share capital is NOK 5,184,864.20 divided by 129,621,605 shares, each with a par value of NOK 0.04.

The Offer Shares and Fee Shares are expected to be delivered to investors on or about 22 May 2024. The Offer Shares and Fee Shares will be tradeable upon delivery.
