Polygon AB (publ) announces the full and irrevocable subscription of its subsequent notes issue

Polygon AB (publ) reg. no. 556816-5855 (the "Company") today announces the full and irrevocable subscription of its subsequent notes issue in an amount of EUR 40,000,000 under the framework of its senior secured fixed rate notes due 2023 (ISIN SE0010830950) (the "Subsequent Notes"). The Subsequent Notes will be governed by Swedish law and the Company has undertaken to list the Subsequent Notes on the corporate bond list of Nasdaq Stockholm within 20 days from the first issue date (which date is expected to be on or about 2 December 2019).

The net proceeds from the issue of the Subsequent Notes shall be applied against general corporate purposes (including acquisitions) of the Company’s group.

The final issue of the Subsequent Notes is ultimately subject to the approval of the Proposal in the Consent Solicitation and market conditions.

Nordea Bank Abp has acted as sole bookrunner in connection with the issuance of the Subsequent Notes. Hannes Snellman has acted as legal advisor to the Company and Roschier Advokatbyrå AB has acted as the legal advisor to the sole bookrunner in connection with the issuance of the Subsequent Notes.

All terms used herein and not defined shall have the meaning given to them in the notice of noteholders' meeting dated 6 November 2019, which is available on the Company's website.
