Report from the AGM of ProfilGruppen AB

Around 110 shareholders and guests attended today's Annual General Meeting at Folkets Hus in Åseda. The meeting was chaired by Kåre Wetterberg. CEO Per Thorsell gave a summary of last year's events and challenges. Significantly improved results

All production lines back in operation at ProfilGruppen

The production facility at ProfilGruppen that in June suffered from a major fire has now resumed its production after three months of production stop. Focus has from day one been on minimizing the negative impact for ProfilGruppens customers. This has gone beyond expectations since production could be re-routed to other presses. The restored pressline has also been partly modernized. The production was up and running again already after three months, which is much faster than expected among both internal resources and external stakeholders. ProfilGruppen: Arbitration set aside by the court of appeal

As previously announced ProfilGruppen was awarded SEK 8.0 million plus interest in punitive damages in an arbitration in December 2010. The damage was not recognised as income. The counterpart, KPMG, later filed a motion to set aside the arbitration claiming their own arbitrator had been judicially disqualified. The Svea Court of Appeal has concluded that due to this reaspm KPMG's arbitrator was not qualified. Hence the court of appeal has set aside the arbitration. However, the court of appeal has not reviewed the point at issue; whether ProfilGruppen is entitled to punitive damages.

Compensation for damages will, as a precaution, not be accounted for in the 2010 financial statements

ProfilGruppen has been awarded 8.0 million in damages plus interest by an arbitral tribunal in Stockholm in December 2010. It was made public on December 29 that this would affect profit of the company for the 4th quarter. The defendant has since filed a motion to strike out the award. In view of the time involved before the court will decide on the merits of the motion, the company has decided not to include the awarded amount in the profit for the 4th quarter, but to defer until the court has ruled on the matter.

ProfilGruppen receives compensation for damage in connection with investment in the German company PWG 2006

ProfilGruppen AB has through arbitration been awarded damages of SEK 8.0 million plus interest of approximately SEK 2.8 million, all together approximately SEK 10.8 million. The dispute was regarding deficient advice when ProfilGruppen invested in the German company Profilrollen-Werkzeugbau GmbH&Co.KG, at the end of 2006. Shortly after the investment ProfilGruppen was forced to a write off amounting to SEK 16.4 million, which caused ProfilGruppen to claim the advisor for compensation due to the inadequate due diligence.
