Proha board of directors used the authorisation for a directed issue to accountor

THE BOARD OF DIRECTORS HAS USED THE AUTHORISATION TO ISSUE SHARES FOR A DIRECTED ISSUE TO THE OWNERS OF ACCOUNTOR OY. With the authorisation given in the Extraordinary Shareholder's Meeting on January 24, 2000 the Board of Directors has decided on March 23, 2000 to increase the share capital by 292,500 euros by giving the shareholder of Accountor Oy 225,000 new Proha Plc shares in a directed issue. The new shares include a sales restriction which will expire in two years. Proha Plc will acquire the whole share capital of Accountor Oy as a capital contribution. Proha Plc is a Finnish IT service enterprise. The key areas of Proha's operations are Project Management, Financial Management, and Internet Technologies. Proha has 200 employees.
