PROHA GROUP ACQUIRED A 100% HOLDING OF PMSOFT ASIA AND PMSOFT KOREA Proha Plc has closed a deal in which Proha acquired the whole share capital of JST Investments (Asia) Pte Ltd (JST) with an exchange of shares. In the arrangement, a total of 278,275 new Proha Plc shares were offered to the owners of JST. The shares have a restriction on the right of disposal. JST has a 51% holding of PMSoft (Asia) Ltd, 49% of which was already previously owned by the Proha Group. Proha Plc has also closed a deal in which Proha acquired a 25% holding of the share capital of PMSoft Korea Ltd at a purchase price of EUR 221,350. The remaining 75% of the shares of PMSoft Korea are owned by PMSoft Asia. After the arrangement, JST, PMSoft Asia, and PMSoft Korea are fully- owned subsidiaries of the Proha Group. After the registration of the subscriptions, the share capital of Proha Plc will be EUR 13,774,384.00 and the number of shares will be 52,978,400. In addition to the subscribed shares, 36,130 shares will be offered for subscription to the minority shareholders of PMSoft Korea.
