THE BOARD OF DIRECTORS HAS USED THE AUTHORISATION TO ISSUE SHARES FOR A DIRECTED ISSUE TO THE OWNERS OF BROSSCO SYSTEMS OY. THE INCREASE OF SHARE CAPITAL HAS BEEN ENTERED INTO THE TRADE REGISTER With the authorisation given in the Extraordinary Shareholder's Meeting on December 7, 1999 the Board of Directors has decided on January 10, 2000 to increase the share capital by the minimum of 150.949.50 euros and by the maximum of 251,582.50 euros by giving the shareholders of Brossco Systems Oy the minimum of 116,115 and the maximum of 193,525 new Proha Plc shares in a directed issue. For each Brossco Systems Oy share received as a capital contribution, Proha Plc gives 15-25 shares. The new shares include a sales restriction which will expire in two years. In the beginning of the issue of shares only the minimum amount of subscribtions will be accepted and these subscribtions can be separately entered into the Trade Register. More subscribtions can be accepted later up to the maximum after certain issues connected to the value of Brossco Systems Oy have been fulfilled by April 30, 2000. The value of the shares of Brossco Systems Oy will correspond at least the value of the 116,115 Proha Plc shares now given. Later during the issue it will be clarified, if the value is grater than this. The increase in the share capital by 150,949.50 euros was entered in the Trade Register on March 6, 2000. After this the share capital of Proha Plc is 6,096,431.90 euros and the number of shares is 4,689,563.
