Proha's Artemis International purchases closed, the increase in share capital entered into the trade register

PROHA'S ARTEMIS INTERNATIONAL PURCHASES CLOSED, THE INCREASE IN SHARE CAPITAL ENTERED INTO THE TRADE REGISTER Proha Plc and the German, French, and Italian Artemis International companies have closed the purchase, where Proha acquired a 100% holding of the French and Italian Artemis International companies and 56.8% of the German company's share capital. All of the 657,390 new Proha Plc shares offered in the directed issue, were subscribed by the owners of the French, German, and Italian Artemis International companies. The shares have a restriction on the right of disposal. The increase in the share capital has been entered into the Trade Register on December 5, 2000. After the registration the share capital of Proha Plc is EUR 13,563,595.50 and the number of shares 10,433,535. Previously, the Proha Group had a 26% holding of the German and French companies and a 30% holding of the Italian one. The remaining portion of the German Artemis International company will be purchased with a directed issue in 2002, when the owners of the company are given a total of 62,584 new Proha Plc shares for subscription. This directed issue requires an authorization from the General Meeting. A total of 719,974 new Proha Plc shares are issued in connection with the purchase of the French, German, and Italian Artemis International companies.
