DECISION OF ARTEMIS INTERNATIONAL SOLUTIONS CORPORATION SPECIAL MEETING OF STOCKHOLDERS At the special meeting of stockholders held on Monday, October 21, 2002, the stockholders of Artemis International Solutions Corporation (AISC), sub-group of Proha Plc approved each of the four proposals to effect a reverse split of the Company's common stock. At the meeting, the stockholders approved four possible ratios for the reverse stock split: 1) one-for-25; 2) one-for-50; 3) one-for-75; and 4) one-for-100. The AISC board of directors shall determine whether to actually effect the reverse stock split and, if so, which of the approved four ratios shall be used. The reverse stock split is a technicality that does not effect on the size of Proha's ownership of AISC.
