Acceptance level of 95.18 percent in Project Panther Bidco Ltd’s offer for Aspiro – the acceptance period is extended

On 30 January 2015, Project Panther Bidco Ltd (“Panther”) announced a public offer to the shareholders of Aspiro AB (“Aspiro”) to tender all shares in Aspiro to Panther at a price of SEK 1.05 in cash per share (the “Offer”). The acceptance period ended on 11 March 2015. Panther declared the Offer unconditional on 13 March 2015 and will thus acquire all shares tendered in the Offer.
During the acceptance period 420,699,016 shares have been tendered in the Offer, corresponding to 95.18 percent of the shares and the voting rights in Aspiro. Settlement for shares tendered up until 11 March 2015 is expected to begin on or around 18 March 2015.
To provide the remaining shareholders in Aspiro more time to consider and to accept the Offer, the acceptance period has been extended until and including 27 March 2015, 5.00 p.m. (CET). Settlement for shares tendered after 11 March 2015 is expected to begin on or around 7 April 2015.
Panther has initiated compulsory acquisition of the remaining shares in Aspiro and requested that the board of directors of Aspiro shall apply for delisting of Aspiro’s shares from Nasdaq Stockholm.
Panther did not own or otherwise control any shares in Aspiro prior to announcement of the Offer. Panther has not purchased, and does not intend to purchase, any shares in Aspiro outside of the Offer.
