Report on the Annual General Meeting of Protect Data AB (publ) on Thursday 29 March 2001 The CEO's statement to shareholders attending the meeting contained the following information: Operations developed positively during 2000 with an increase in turnover of 93 per cent to SEK 290 M. By the end of the year, the number of employees had increased by 80 per cent to 153. Since then, the number of employees has continued to grow and today stands at around 170. Despite continued investments in the development of the organisation and in the development and sales of the in-house developed product Pointsectm, profits after financial net reached SEK 10.1 M. In 2000, the Company secured two major orders in the PKI business area, one from Norway's Telenor and the other from Tele Danmark. Total sales in the PKI division rose to 16 per cent of turnover (4 per cent). Several new agreements regarding Pointsectm were entered into during 2000, for example with Cisco Systems, Marconi Corporation and Fluor Corporation. At the beginning of the year a share issue directed at European and American institutions was carried out, which raised SEK 123 M for the Company. The Company continued to focus on its in-house developed product Protect!tm, whose name was changed to Pointsectm in connection with the launch of version 4.0. Protect Data continues to focus on its established vision to become the leading IT security supplier in the Nordic region and the world's leading supplier of IT security for PCs and mobile terminals. The following resolutions were passed at the Annual General Meeting:: · Martin Bjäringer, Jonas Fredriksson, Roger Gullqvist, Sven Hagströmer, Harald Nilsonne and Carl Rosvall were re-elected as members of the Board while Johan Brenner was appointed as an ordinary member of the Board (formerly deputy member). · It was decided at the Annual General Meeting to reduce the premium fund by SEK 100 M for the transfer for unrestricted equity. The objective of this reduction is to enable the Company to repurchase its own shares and decide on future dividend payments to shareholders, for example. The reduction can take place after the approval of the district court, which is expected in around six months. · The Board was given general authority to issue a maximum of 1,500,000 new shares before the next Annual General Meeting. · No dividends will be paid for the financial year 2000.
