Qiiwi Games completes a heavily over-subscribed directed new share issue of 1,000,000 new shares, raising proceeds of approximately SEK 66.5 million

Qiiwi Games AB (publ) (”Qiiwi Games” or the ”Company”) has, as communicated in the Company’s press release earlier today, resolved on and carried out a directed new share issue of 1,000,000 shares (the "Directed New Share Issue"). The subscription price of the shares in the Directed New Share Issue amounts to SEK 66.5 per share. Through the Directed New Share Issue Qiiwi Games will receive proceeds amounting to approximately SEK 66.5 million before deduction of transaction costs. A large number of Swedish and international institutional investors, including the Consortium Dan Sten Olsson and Erik Nielsen, participated in the Directed New Share Issue which was heavily over-subscribed.
The subscription price in the Directed New Share Issue is SEK 66.5 and has been determined through an accelerated bookbuilding procedure carried out by the Company’s financial advisor Pareto Securities AB (“Pareto Securities”). It is therefore the board of directors’ assessment that the terms for the Directed New Share Issue and the subscription price are set in accordance with current market conditions. The subscription price in the Directed New Share Issue constitutes a discount of approximately 14.3 percent compared to closing price on Spotlight Stock Market on 26 January 2021. Through the Directed New Share Issue Qiiwi Games will receive approximately SEK 66.5 million before deduction of transaction costs.
The reasons for the deviation from the shareholders’ preferential rights is to diversify the shareholder base among reputable Swedish and international institutional investors and at the same time raise capital in a time and cost efficient manner. The net proceeds from the Directed New Share Issue are intended to be used to enable increased investments in marketing activities in order to carry out game launches and to utilize growth opportunities offered by the Company’s pipeline of games.
Through the Directed New Share Issue, the number of outstanding shares and votes will increase by 1,000,000 from 8,234,852 to 9,234,852. The share capital will increase by SEK 100,000, from SEK 823,485.2 to SEK 923,485.2. The Directed New Share Issue entails a dilution of approximately 10.8 percent of the number of shares and votes in the Company based on the number of shares and votes following the Directed New Share Issue.
In connection with the Directed New Share Issue, the Company has undertaken, with customary exceptions, not to issue additional shares for a period of 12 months after the outcome of the Directed New Share Issue. Board members, shareholding senior executives and certain larger existing shareholders have undertaken not to sell any shares in Qiiwi Games for a period of 90 calendar days after the outcome of the Directed New Share Issue, with customary exceptions.
