Increase in the number of shares registered in the trade register

Total of 606,250 share subscriptions based on the directed share issue approved by the Board of Directors of Relais Group Plc on 6 February 2020, have been entered into the trade register today. The subscription price for the shares was EUR 8.6091 per share. The directed issue is related to the acquisition of TD Tunga Delar Sverige AB announced on 6 February 2020. With the closing of the acquisition, Relais Group Plc paid SEK 55.0 million of the purchase price by issuing a total of 606,250 new Relais Group Plc's shares to be subscribed by the shareholders of TD Tunga Delar Sverige AB.
After these subscriptions, the number of Relais Group Plc's shares and votes will rise to 16,820,050. These increases were recorded in their entirety in the reserve of invested unrestricted equity.
Relais Group Plc has applied for the listing of its new shares on the Nasdaq First North Growth Market Finland in the same series as the company's existing shares. According to the current estimate, the new shares will be listed on 23 March 2020.
