Announcement of Share Price and Exchange ratio for REMEC's offer for Allgon On September 28, 2000 REMEC, Inc. ("REMEC") made a public offer for the outstanding shares and warrants of Allgon AB (publ) ("Allgon"). A prospectus regarding the public offer to the shareholders and holders of warrants 2000/2003 issued by Allgon was made public on November 12, 2000. The measurement period (the ten trading day period ending two days prior to the expiration of the acceptance period), for determining the number of REMEC shares offered for each Allgon share, was December 27, 2000 - January 10, 2001. The average share price of REMEC during the measurement period, based on the average closing price, was USD 10.316. The shareholders of Allgon will thus receive 0.622169 REMEC share for each Allgon share and the price for the Allgon-shares which may be sold for cash in excess of those shares which are sold for SEK 161 per share will be USD 6.418.
