Subscription Price Set for Rightbridge's Warrants of Series TO2, Subscription Period Begins on June 3, 2024
The subscription price for Rightbridge Ventures Group AB ("the Company") warrant series TO2 ("TO2") has been set in accordance with the applicable warrant terms at SEK 0.0234 per share. The subscription period begins on June 3, 2024, and runs until June 17, 2024. Holders of warrants are entitled to subscribe for one (1) new share in Rightbridge for each warrant at a subscription price of SEK 0.0234 per share. If all warrants of series TO2 are exercised, the Company will receive approximately SEK 7.6 million before issuance costs.

Exercise Period: June 3 – June 17, 2024.
Terms: One (1) warrant entitles the holder to subscribe for one (1) new share.
Subscription Price: SEK 0.0234 per share, no brokerage fee.
Issuance Volume: 324,232,488 outstanding warrants of series TO2. Maximum approximately SEK 7.6 million before issuance costs.
Last Trading Day for TO2: June 13, 2024.
Last Day to Exercise TO2: June 17, 2024.
Upon full exercise of all warrants, the number of shares will increase by 324,232,488 shares to a total of 972,697,464 shares, and the share capital will increase by SEK 3,242,324.88 to a total of SEK 9,726,974.64, corresponding to a dilution effect of approximately 33.33%. TO2 is listed for trading on the First North Growth Market under the ticker "RIGHTB TO2" and with ISIN SE0021150091.
If Your Warrants Are Nominee-Registered:
If the warrant holder has their warrants in a custody account, an investment savings account, or a capital insurance (nominee-registered ownership), subscription and payment must be made to the respective nominee who will provide further instructions on how to exercise the warrants. For more information and further instructions on how to exercise your warrants, please contact your nominee in good time. Note that the bank/nominee needs your notification of exercise of the warrants well before the subscription period ends.
If Your Warrants Are Directly Registered (VP Account):
No issuance statement will be sent out. Subscription for new shares, through the exercise of warrants, must be done by submitting a fully completed subscription form to Aqurat Fondkommission. Payment must be made according to the payment instructions on the subscription form when the subscription form is submitted to Aqurat Fondkommission. The completed subscription form and payment must be received by Aqurat Fondkommission no later than 3:00 PM CEST on June 17, 2024. Subscribed and paid shares will be registered on your VP account as "interim shares" or "IA" until the registration of the issuance is completed with the Swedish Companies Registration Office, after which the interim shares will automatically be converted into ordinary shares in Rightbridge.
