EXTRAORDINARY GENERAL MEETING – RECOMMENDATION FROM THE NOMINATION COMMITTEE ON CHANGES TO THE COMMITTEE

Reference is made to the calling notice for the extraordinary general meeting in Roxar ASA to be held on Thursday, December 8th, made public through the notice to the market on 22 December 2008.

As announced, the Nomination Committee has been in contact with the largest shareholders, since Mr. Harald Espedal had informed the Committee that he wanted to step down from his position with the Committee. As announced in the nomination from the Committee attached to the calling notice, due to timing the Committee had not been able to come up with a candidate to the Committee to be appointed by Kongsberg Gruppen ASA.

The Nomination Committee hereby suggests that Mr. Stig Trondvold is elected as a new member of the Nomination Committee. Mr. Trondvold is 54 years old and holds the position as Executive Vice president for Business Development in Kongsberg Gruppen ASA, and has been employed in Kongsberg Gruppen ASA for 8 years. He has background from companies as SINTEF, Kongsberg Våpenfabrikk AS, Kongsberg Automotive AS, AP Kongsberg Ltd and Kongsberg Techmatic AS. Mr. Trondvold is also the chairman of the board of Kongsberg Innovasjon AS and Teknologisk Institutt AS, as well as a director of the Research Board for innovation of the Research Counsil of Norway (Nw. Norges Forskningsråd).

FMC Kongsberg Holding has rejected the offer to appoint a fourth member of the Committee to replace Mr. Svein Høgset. Thus, Mr. Høgset will carry on his appointment as member of the Nomination Committee.

Following the nomination from the Committee, following the extraordinary general meeting, the Committee will comprise the following members:

Erik Must - Member
Svein Høgset - Member
Stig Trondvold - Member
