MANDATORY NOTIFICATION OF TRADES – ROXAR ASA

Reference is made to previous notifications from the Board of Roxar ASA and the voluntary offer document from Aegir Norge Holding AS etc.

Hans Olav Torsen, chairman of the board of directors in Roxar ASA, has, including Hering AS which is controlled by Torsen, accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 450.000 shares, correspondingly to 0.19 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.

Gunnar Hviding, CEO of Roxar ASA, has through a company which is controlled by Hviding, Cives AS, accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 1,616,666 shares, correspondingly to 0.66 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.

Even Gjesdal, CFO of Roxar ASA, has through a company which is controlled by Gjesdal, MEGA Investering AS, accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 1,000,000 shares, correspondingly to 0.41 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.

Terje Svendsen, Managing Director of Roxar Flow Measurement, has accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 100,000 shares, correspondingly to 0.04 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.

Ordin Husa, Managing Director of Roxar Software Solutions, has accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 10,000 shares, correspondingly to 0.004 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.

Kenneth Olsvik, Senior Vice President Roxar Flow Measurement, has accepted the voluntary offer by Aegir Norge Holding AS on NOK 5.20 per share for 48,000 shares, correspondingly to 0.0197 % of the issued shares in Roxar ASA. The holding of shares after the transaction will be 0 shares.
