ORDINARY GENERAL MEETING

The ordinary general meeting in Roxar ASA was held on 7 May 2009. The new sole shareholder, Aegir Norge Holding AS, representing 100 % of the shares, was represented by proxy. The board of the company had found it adequate to accelerate the ordinary general meeting following completion of the compulsory acquisition of shares by Aegir Norge Holding AS. A copy of the minutes of meeting is attached hereto.
