Statement of the Board of Directors of Roxar ASA

Enclosed is the statement by the Board of Directors of Roxar ASA, cf section 6-16 of the Norwegian Securities Trading Act, pursuant to which the Board recommends the voluntary offer put forward by Emerson Electric Co. through its indirectly wholly-owned Norwegian subsidiary Aegir Norge Holding AS. This notification is given in relation to the issue of the voluntary offer document that is sent to all shareholders in Roxar ASA by the offeror today.
