SCA’s Annual General Meeting of SCA was held at Hotel Södra Berget, Sundsvall. 24 shareholders took part in the meeting. Many others had chosen to participate through proxy. A number of precautionary measures had been taken to avoid potential infection.

The Meeting approved the income statement and balance sheet for the Parent Company and the consolidated income statement and consolidated balance sheet for 2019.

The Annual General Meeting decided that no dividend would be paid out for the 2019 fiscal year.

The Board of Directors and the CEO were granted discharge from liability for the 2019 fiscal year.

The Annual General Meeting re-elected the board members Charlotte Bengtsson, Pär Boman, Lennart Evrell, Annemarie Gardshol, Ulf Larsson, Martin Lindqvist, Lotta Lyrå, Bert Nordberg, Anders Sundström and Barbara Milian Thoralfsson. Pär Boman was re-elected Chairman of the Board.

The registered accounting firm EY AB was appointed the company´s auditor for a mandate period until the end of the Annual General Meeting 2021.

The Annual General Meeting resolved to adopt the revised proposal from the Nomination Committee of remunerations to the board members should be unchanged in relation to 2019. The remuneration for the auditor that was proposed in the notice of the Annual General Meeting, was approved. The proposal for remuneration guidelines for the senior management was also adopted.

Minutes from the Annual General Meeting will be available on the company website, www.sca.com, within two weeks.
