    Extraordinary General Meeting of Shareholders in Securitas AB

    The shareholders of Securitas AB, reg. no 556302-7241, are hereby invited to participate in the Extraordinary General Meeting (“EGM”) to be held on Wednesday December 9, 2020.In order to reduce the risk of spreading the coronavirus and to comply with regulations and general guidelines issued by the authorities, the EGM will, in accordance with temporary legislation, be held only by postal voting.     Securitas has acquired the electronic security company Alphatron Security Systems in the Netherlands, to further strengthen its technology capabilities in the country. Enterprise value is estimated to MSEK 120 (MEUR 12.3).Alphatron Security Systems offers video solutions, access control systems and security management systems to industrial, public, aviation, construction and real estate customers.     Securitas agrees to acquire Kratos Public Safety and Security division

    Securitas has agreed to acquire the division Kratos Public Safety and Security from Kratos Defense & Security Solutions, Inc. (NASDAQ:KTOS). The purchase price is approximately MSEK 550 (MUSD 69) on a cash and debt-free basis.     The new US corporate tax legislation, passed by the US Government on December 22 and effective as from January 1, 2018, will impact Securitas.Based on the information currently available, the new US tax legislation will reduce Securitas Group tax rate as of 2018 and going forward.     The Court of Appeal has decided to overrule the decision by the Stockholm District Court regarding falsified bankruptcy application

    The Court of Appeal has decided to overrule the decision by the Stockholm District Court to declare Securitas’ President and CEO Alf Göransson bankrupt.On July 10, 2017, Alf Göransson was declared bankrupt by the Stockholm District Court, without any contact before the decision. The decision by the Stockholm District Court was based on a falsified application, where Alf Göransson filed for bankruptcy.     Securitas issues 7 year Eurobond

    On February 13, 2017, Securitas issued a seven year MEUR 350 Eurobond. Settlement date was February 20, 2017.The coupon rate was set at 1.125 percent and the maturity date is February 20, 2024.
