Completion of T-C Storage Holdco AB’s Voluntary Offer for All Shares in Self Storage Group ASA

Oslo, 30 November 2023 - Reference is made to the offer document dated 11 October 2023 (the “Offer Document”) for the recommended voluntary offer (the “Offer”) by T-C Storage HoldCo AB (the “Offeror”) to acquire all of the issued and outstanding shares (the “Shares”) in Self Storage Group ASA (the “Company”, OSE: SSG) for NOK 40 per Share (the “Offer Price”). Reference is further made to the stock exchange announcement made on 9 November 2023 regarding settlement of the Offer, whereby the Offeror announced that settlement of the Offer would be made as soon as reasonably possible, and not later than on 7 December 2023.

The Offeror hereby announces that the Offer has been completed and that settlement of the Offer has been made pursuant to the terms set out under section 2.15 of the Offer Document. For every Share for which the Offer has been lawfully accepted, the Offeror has paid a consideration of NOK 40 per Share.

As of settlement of the Offer, the Offeror holds 93,842,482 Shares, representing approximately 99.12% of the share capital and voting rights in the Company.

As soon as reasonably practicable, the Offeror intends to effect a compulsory acquisition of the remaining shares in the Company not owned by the Offeror at a redemption price equal to the Offer Price of NOK 40 per Share. A separate press release will be announced when the compulsory acquisition has been resolved by the board of directors of the Offeror in accordance with section 4-25 of the Norwegian Public Limited Liability Companies Act and section 6-22 of the Norwegian Securities Trading Act.

The Offeror, T-C Storage HoldCo AB, is a private limited liability company incorporated and existing under the laws of Sweden with registration number 559324-6720 and registered address Kungsgatan 30, våning 7, 111 35 Stockholm, Sweden. The Offeror is an indirect wholly-owned subsidiary of Teachers Insurance and Annuity Association of America, and is advised by Nuveen Asset Management Europe S.à r.l.
