Scan Bidco A/S – Notice of a written procedure

Scan Bidco A/S (the "Company") has on the date hereof given instructions to Nordic Trustee & Agency AB (publ), being the agent under its up to USD 250,000,000 senior secured callable bond loan with ISIN NO0010768062 and ISIN NO0010768070 (the "Bonds") to initiate a written procedure in order to request that bondholders vote in favour of amending the definition of "Working Capital Facility" in the terms and conditions of the Bonds so that the threshold for the working capital facility will be calculated on a net basis as further described in the notice of the written procedure.
