Scan Bidco A/S – Notice to a written procedure

Scan Bidco A/S (the "Company") has on the date hereof given instructions to Nordic Trustee & Agency AB (publ), being the agent under its up to USD 250,000,000 senior secured callable bond loan with ISIN NO0010768062 and ISIN NO0010768070 (the "Bonds") to initiate a written procedure in order to request that the bondholders vote in favour of extending the amendment of the definition of "Working Capital Facility" so that the threshold for the working capital facility will be calculated on a net basis as further described in the notice of written procedure. The amendment of the definition of "Working Capital Facility" was approved by the bondholders on 17 January 2019 and was originally set to expire 30 June 2019.
