Announcement of completion of private placement, total number of shares and voting rights and registration of share capital increase

NB: Correction of company announcement no 10-24 with regards to share capital increase, number of new shares, total share capital and total number of shares and voting rights.

Reference is made to company announcements no 9-24 of 11 March 2023 and no 10-24 of 12 March 2024

The increase of the share capital with nominally DKK 101,165 (correction from DKK 101,165.30) has now been registered with the Danish Business Authority and the private placement of the 1,011,650 new shares (correction from 1,011,653) in Shape Robotics A/S have been issued.

As a result of the completion of the private placement Shape Robotics A/S’ share capital has been increased by nominally DKK 101,165 (correction from DKK 101,165.30). Consequently, the nominal value of the Company’s total share capital now amounts to DKK 1,506,616.70 (correction from DKK 1,506,617) divided into 15,066,167 (correction from 15,066,170) shares of nominally DKK 0.10 and with each share carrying 1 voting right, corresponding to a total of 15,066,167 voting rights (correction from 15,066,170) cf. section 32 of the Danish Capital Markets Act.

The new shares will be admitted to trading and official listing on Nasdaq Copenhagen A/S under the permanent ISIN-code (DK0061273125) of Shape Robotics A/S, with the first day of trading and official listing being 26 March 2024.

The company’s Articles of Association have been updated to reflect the capital increase. The updated Articles of Association have been registered with the Danish Business Authority and can be found at https://shaperobotics.com.
