Update on ongoing acquisition of polish Edtech company Skriware

In response to numerous inquiries from investors and the media, Shape Robotics is issuing this press release to provide an update on the status of the acquisition.

As previously announced in company announcement no. 29-23, on the last day of June 2023, Shape Robotics entered a non-binding letter of intent ("LOI") with the shareholders of Skriware, a prominent Polish technology company. The purpose of this LOI was to outline the proposed acquisition of Skriware's entire share capital.

Status update

We are pleased to report that the due diligence process of Skriware has been successfully completed. Consequently, we can confirm that the timeline and course of actions initially outlined in both the LOI and the aforementioned company announcement remain consistent. As such, it is our shared ambition to conclude and formalize the final agreement between both parties as fast as possible, and within the current quarter.

Shape Robotics remains committed to providing transparency and updates regarding this important development, and we appreciate the ongoing interest and support of our stakeholders throughout this acquisition process.

Once the final agreement has been reached, the company will communicate the results and action plans in a company announcement, and invite investors and stakeholders for an online Q&A.
