The Annual General Meeting decided to confirm the presented profit and loss statement and balance sheet for the 2003 financial year. The deficit for the year was to be carried over to the new balance, and the company’s board and CEO were discharged of liability. The board was re-elected in its entirety and authorised to make decisions concerning proposed new share issues. The board may also, thanks to a resolution on deviation from shareholders’ preferential rights, target offers at strategic investors.

The annual accounts and audit report were presented to the meeting. CEO Pelle Hjortblad reported on business activities and the development the Paynova Wallet is undergoing for new business areas.

The re-elected board is composed of Peter Enström, Magdalena Bonde, Dan Blomberg, Bengt Holmqvist, Ulf Risberg and Magnus Unger. Directors’ fees were fixed at an unchanged SEK 250,000, to be distributed in accordance with the board’s own decision. Owing to individual board members’ work tasks being expanded to cover considerably more than the usual board work, the board is authorised to be able to give out a special payment totalling no more than SEK 250,000 during the year.

All decisions taken by the meeting were unanimous.
