SinterCast Annual General Meeting 2009
The SinterCast AB (publ) Annual General Meeting (AGM) was held on 7
May 2009 in Stockholm. During the AGM, Dr Steve Dawson, President &
CEO, presented an overview of recent market activities and provided
an outlook for SinterCast's potential market development. While the
global economic crisis presents obvious challenges for companies in
the foundry and automotive sectors, Dr Dawson's presentation
identified opportunities for new installations and for the start of
new series production programmes during 2009 and beyond. Based on
the current series production level of approximately 400,000 Engine
Equivalents per year, Dr Dawson stated that new installations are
required to augment the revenue during 2009, and that the timing of
the new installation commitments will likely become the critical
factor in determining the potential need for new capital injections.
Beyond the market activities, internal R&D progress has resulted in
several improvements to the SinterCast hardware and software, and to
the core thermal analysis technology. The Company intends to launch
these developments as a suite of new technical products during 2009.
In concluding, Dr Dawson confirmed that, despite the broader economic
challenges, the SinterCast employees were motivated by the current
increased level of field activities and the positive feedback
received from customers, and remained committed to realising the
common goal of millions of SinterCast-CGI vehicles on the roads.
The AGM decided upon a number of proposals presented by Board.
Specifically, the AGM authorised the Board to increase the share
capital prior to the next AGM, through one or more new share issues
with preferential rights. Under the terms of each new share issue,
shareholders shall have pre-emption rights to subscribe for new
shares in relation to the number of shares that the shareholder
previously held. Shares that are not subscribed for using
pre-emption rights shall be offered to all shareholders for
subscription. In the event that all shares are not subscribed,
allocation shall be made to guarantors and other subscribers with no
pre-emption rights. The AGM also authorised the Board to acquire and
dispose of SinterCast shares such that the Company's shareholding at
any given time shall not exceed ten percent of the total shares in
the Company, and to transfer the number of SinterCast shares that the
company holds at any given time, with a deviation from the
shareholders' pre-emptive rights. This authorisation enables the
Company to buy its own shares so as to adapt the capital structure of
the company to the capital requirements at any given time and to be
able to transfer shares in connection with the potential acquisition
of a company or business. The proposal to revise the existing
employee stock option programme was not adopted by the AGM.
During the AGM, Ulla-Britt Fräjdin-Hellqvist, Aage Figenschou, Andrea
Fessler, Robert Dover and Steve Dawson were re-elected as Board
members, with Ulla-Britt Fräjdin-Hellqvist re-appointed as Chairman.
The AGM also decided upon the constitution of the Nomination
Committee until the next AGM, comprised of Ulla-Britt
Fräjdin-Hellqvist, Lars Ahlström, with the primary responsibility to
represent large shareholders, and Torbjörn Nordberg, with the primary
responsibility to represent small shareholders.
