Annual General Meeting of SinterCast AB (publ) will take place on Monday 8 May 2000 at 3.00 pm at the premises of the Royal Academy of Engineering Sciences, Grev Turegatan 16, Stockholm. To participate shares shall be registered with the Swedish securities register (VPC) on 28 April 2000 and notice of participation shall be given to the company no later than 3 May 2000. Re-election is proposed of the present Members of the Board: Bo C E Ramfors (Chairman), Lennart Svantesson, Rod Mansfield, Aage Figenschou and Bertil Hagman. The Board of SinterCast AB (publ) has proposed the Annual General Meeting to decide that the Company will issue a subordinated debenture loan with a nominal value of SEK 1,000 with 250,000 detachable warrants. The debenture loan and the detachable warrants will be subscribed by SinterCast Technologies AB, a wholly owned subsidiary of SinterCast AB (publ). SinterCast Technologies AB will detach the warrants and transfer the major part to the employees of the SinterCast Group without payment. Subscription shall take place during the period 9 May to 30 May 2000. The debentures shall bear no interest and be due for payment on 30 June 2000. Each detachable warrant will entitle the holder the right to subscribe during the period 9 May to 30 June 2003 to one new share of Series A in SinterCast at a rate of subscription corresponding to 130% of the average paid closing share price of the SinterCast A-share at the OM Stockholm Exchange O-list during the period 26 April to 5 May 2000. At a maximum utilisation of the warrants the dilution effect corresponds to 5.9 % of the capital and 6.8% of the votes, in both cases including all current outstanding warrants. The warrants are valued by an independent valuation institute and this valuation will be presented in connection with the Annual General Meeting. Maximum subscription recommended for the Managing Director is 20,000, Member of the Group Management 16,000, other Manager 8,000, other Key staff 6,000 and other Employee 2,000. Part of the warrants will be kept by SinterCast Technologies AB to cover future expenses for national insurance contributions related to the benefits of the option program, and part of the warrants will be kept as a reserve for new employees of the SinterCast Group. The motive for the warrant program and the divergence from the shareholders' preferential rights is that the Board of Directors find it advantageous if all employees at a limited risk become partners in the Company. They are thereby likely to feel a closer relationship with the SinterCast Group. The interest in the Company's profitability is reinforced, and continued loyalty over the coming years will be stimulated.
