EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS OF SKANDITEK INDUSTRIFÖRVALTNING AB (publ.)

The shareholders of Skanditek Industriförvaltning AB (publ), company registration number 556235-4141, are hereby summoned to an Extraordinary General Meeting to be held on Monday, October 16, 2006 at 11:00 a.m. at the Company’s premises at Nybrogatan 6, SE-114 34 Stockholm.

Right to attend Shareholders intending to attend the Extraordinary General Meeting must be registered in the share register maintained by VPC AB by Tuesday, October 10, 2006 and must notify Skanditek of their intention to attend the Meeting not later than noon on Tuesday, October 10, 2006. Notification shall be made to Skanditek Industriförvaltning AB, Nybrogatan 6, SE-114 34 Stockholm, by phone to +46 8-614 00 20, by fax on +46 8-614 00 38 or by email to info@skanditek.se. When notifying the Company, please specify your name, personal/company identification number, address and telephone number. If advisors are to attend, notification of this must be made in a corresponding manner. Registration in name of trustees Shareholders whose shares are registered in the name of a trustee must temporarily re-register their shares in their own name in order to participate in the Meeting. Shareholders must notify their trustee to this effect in good time before Tuesday, October 10, 2006, when such registration must be completed by VPC AB. Proposed agenda 1. Opening of the Meeting 2. Election of a chairman to preside over the Meeting 3. Preparation and approval of the voting list 4 Election of one or two persons to check the minutes 5. Resolution determining whether the Meeting has been duly convened 6. Approval of the agenda 7. Board motion to General Meeting regarding approval of resolution by a General Meeting of MYDATA automation AB to buy back warrants. 8. Board motion for resolution regarding buy back of call options in MYDATA automation AB. 9. Board motion to General Meeting to approve resolution by a General Meeting of MYDATA automation AB to introduce a new incentive program involving the issue of new warrants. 10. Closure of the Meeting Board motion to approve buy back of warrants in Mydata (Item 7) MYDATA automation AB is a subsidiary of Skanditek. Mydata’s Board of Directors has proposed that an Extraordinary General Meeting be held on October 13, 2006 to pass a resolution to buy back issued warrants in Mydata. The Board proposes that the General Meeting in Skanditek now approve this buy back of a total of not more than 128,600 warrants at a price of SEK 52.60 per warrant, corresponding to a total of not more than SEK 6,764,360. Board motion for resolution regarding buy back of call options in MYDATA automation (Item 8) Skanditek has issued call options pertaining to parts of the Company’s shareholding in Mydata. The Board proposes that the company be released from its obligation to sell Mydata shares pursuant to the call options by paying a cash amount of SEK 78.70 per option to holders of call options. In total, a cash amount of SEK 4,800,700 will be paid for the options outstanding. Board motion to General Meeting to approve resolution by General Meeting of MYDATA automation AB to introduce a new incentive program involving the issue of new warrants (Item 9) Mydata’s Board of Directors has proposed that an Extraordinary General Meeting be held on October 13, 2006 to pass a resolution to introduce a new incentive program involving warrants on Mydata shares. Since a resolution regarding an incentive program in Mydata is governed by Chapter 16, Section 3 of the Swedish Companies Act, it must be approved by a General Meeting of the Parent Company Skanditek. Mydata’s Board of Directors proposes that the General Meeting in Mydata resolve to issue not more than 250,000 warrants carrying entitlement to the subscription of not more than 250,000 Mydata shares. The warrants will be issued at a price corresponding to their market value on the issue occasion, which has been calculated at SEK 6.70 per warrant. Subscription and payment for the options must be completed no later than November 10, 2006. The warrants will be subscribed for by the subsidiary Mydata Treasury, with this subsidiary having the right and the obligation to transfer them to senior executives and key personnel in Mydata. The price for the transferred warrants is to correspond to the issue price. Subscription of shares based on warrants will be possible as of August 10, 2010 through November 10, 2010 at a subscription price of SEK 230.00 per share. Following full exercise of all the warrants covered by the resolution, the share capital will increase by SEK 250,000, corresponding to dilution of approximately 4% of the number of shares and voting rights in Mydata. Since the Meeting’s resolution under Item 9 is governed by the provisions contained in Chapter 16 of the Swedish Companies Act (what is known as the “LEO law”), a valid resolution must be supported by at least 9/10 of both the shares issued and the shares represented at the Meeting. The Board’s complete motions in accordance with Items 7 to 9, the Board’s account of the motions and other documents required in accordance with Chapter 14, Sections 8–10 of the Swedish Companies Act will be available at the Company’s offices on Nybrogatan 6, SE-114 34 Stockholm as of Monday, October 2, 2006 and will be sent to shareholders who request such information and provide their address.
