Skanditek increases its holding in MYDATA automation to 66 percent through restructuring of ownership in portfolio companies

- Skanditek acquires outstanding minority interest in G Kallstrom & Co, corresponding to 30 percent, from Inter Indu S.P.R.L, a company controlled by Christer Brandberg. - Skanditek subsidiary G Kallstrom & Co acquires 13.1 percent of Skanditek subsidiary MYDATA automation from Christer Brandberg - Skanditek divests its shares in Axis and in Powerwave as a result of the above transactions - Skanditek intends to acquire the remaining shares outstanding in MYDATA automation Acquisition of minority interest in G Kallstrom & Co Yesterday, Skanditek acquired 30 percent of its subsidiary G Kallstrom & Co from Inter Indu SPRL, a company controlled by Christer Brandberg. The purchase consideration consists of 7,946,745 Axis shares and 684,961 Powerwave shares. In total the purchase corresponding to a value of SEK 270.5 m As result of the above transactions, an intra-Group exchange of shares is being undertaken. Skanditek is acquiring 8,429,553 Axis shares from G Kallstrom & Co in return for 2,878,384 PartnerTech shares. The transaction does not give rise to a requirement to make an offer for all of the shares in PartnerTech. Also see separate press release announcing the divestment of a large interest. Acquisition of 13.1 percent of MYDATA automation Yesterday, G Kallstrom & Co acquired 13.1 percent of its subsidiary MYDATA automation from Christer Brandberg. The purchase consideration consists of 2,810,212 Axis shares corresponding to a value of SEK 78.7 m. Following the acquisition of the minority interest in G Kallstrom and the acquisition of 13.1 percent of MYDATA automation, Skanditek’s holding in MYDATA automation increases to 66 percent of the company’s share capital and voting rights. Divestment of Axis shares corresponding to 15.6 percent and Powerwave shares corresponding to 0.7 percent as a result of the above transactions. As result of the above transactions, Skanditek and its subsidiary G Kallstrom have jointly sold a total of 10,756,957 Axis shares. Thereafter, Skanditek owns a total of 482,808 Axis shares, which jointly represent 0.7 percent of the company’s share capital and voting rights. The capital gain amounted to SEK 219.5 m in the Group. Skanditek has sold 684,961 shares in Powerwave Inc. Thereafter, Skanditek (including the shares held by its now wholly owned subsidiary, G Kallstrom & Co) owns a total of 3,244,000 shares in Powerwave Inc., which jointly represent 3.3 percent of the company’s share capital and voting rights. The capital gain amounted to SEK 28.6 m in the Group. Acquisition of shares outstanding in MYDATA automation The Board of Directors of Skanditek intends to offer the remaining shareholders in MYDATA automation four shares in Skanditek Industriförvaltning AB (publ) in return for one MYDATA automation share. Holders of MYDATA automation shares, corresponding to 29.9 percent of the share capital, have announced that they intend to accept the offer. This transaction means that Skanditek’s holding in MYDATA automation, including the shares held by those MYDATA automation shareholders who intend to accept the offer, will amount to about 95 percent of the company’s share capital and voting rights. If all remaining shareholders in MYDATA automation accept the offer, approximately 8.5 million Skanditek shares will be issued, which is equal to a dilution effect of about 13 percent. Skanditek will convene an Extraordinary General Meeting to address the above offering. The total Group capital gain from above mentioned transactions amounted to SEK 248.1 m or SEK 4.27 per share. The transaction does not lead to any tax consequenses.
