Communiqué from the Annual General Meeting 2024 of Skanska AB (publ)

The Annual General Meeting (the “Meeting”) of Skanska AB (publ) (the “Company”) was held on March 27, 2024. Presentations at the Meeting by the Chairman of the Board of Directors (the “Board”), Hans Biörck, and the CEO, Anders Danielsson, will be available on Skanska’s website, www.group.skanska.com/.

Income statements and balance sheets

The Meeting adopted the income statement and the balance sheet for the parent company as well as the consolidated income statement and the consolidated balance sheet for 2023.

Dividend

In accordance with the Board’s proposal, the Meeting resolved to pay a dividend to the shareholders of SEK 5.50 per share. The record date for receiving dividend was set to Tuesday April 2, 2024 and the dividend is expected to be distributed by Euroclear Sweden AB on Friday April 5, 2024.

Discharge from liability

The members of the Board and the CEO were discharged from liability for their management during the financial year 2023.

Board of Directors

The Meeting elected members of the Board in accordance with the proposal of the Nomination Committee. Hans Biörck, Pär Boman, Jan Gurander, Mats Hederos, Fredrik Lundberg, Catherine Marcus and Åsa Söderström Winberg were re-elected as members of the Board. Jayne McGivern and Henrik Sjölund were elected as new members of the Board. Hans Biörck was re-elected as Chairman of the Board.

It was noted that the trade unions have appointed Ola Fält, Richard Hörstedt and Yvonne Stenman as employee representatives in the Board with Fredrik Norrman, Hans Reinholdsson and Anders Rättgård as deputies.

Board fees

The Meeting resolved, in accordance with the Nomination Committee’s proposal, on fees to the Chairman of the Board and to the other members of the Board elected by the Meeting not employed by Skanska as follows:

  • SEK 2,400,000 to the Chairman of the Board;
  • SEK 800,000 each to the other board members;
  • SEK 310,000 to the Chairman of the Audit Committee and SEK 210,000 each to the other members of the committee;
  • SEK 115,000 to the Chairman of the Compensation Committee and SEK 110,000 each to the other members of the committee;
  • SEK 235,000 each to the Chairman of the Project Review Committee and the other members of the committee.

Auditor

In accordance with the Nomination Committee’s proposal, the Meeting re-elected the accounting firm Ernst & Young AB as auditor for the period until the close of the Annual General Meeting 2025.

Remuneration report for 2023

The Meeting approved the Board’s remuneration report for 2023.

Authorization for the Board to resolve on acquisitions of own Class B shares to secure delivery of shares to participants in the long-term employee ownership program for the financial years 2023, 2024 and 2025 (Seop 6)

In accordance with the Board’s proposal, the Meeting resolved to authorize the Board to, on one or several occasions, however at the latest until the Annual General Meeting 2025, resolve on acquisitions of no more than 2,400,000 own Class B shares on Nasdaq Stockholm at a price within the from time to time applicable range of prices (spread), meaning the interval between the highest purchase price and the lowest selling price, to secure delivery of Class B shares to participants in the Skanska employee ownership program resolved by the Annual General Meeting 2022 (“Seop 6”). Acquired own Class B shares may be transferred to participants in Seop 6 in accordance with the conditions stipulated in the decision by the Annual General Meeting 2022.

Authorization for the Board to resolve on acquisitions of own Class B shares to give the Board increased freedom of action to be able to adapt the Company’s capital structure and thereby contribute to increased shareholder value

In accordance with the Board’s proposal, the Meeting resolved to authorize the Board to, on one or several occasions, however at the latest until the Annual General Meeting 2025, acquire such number of own Class B shares that the Company’s holding of own shares after each acquisition amounts to a maximum of one-tenth of the total number of shares in the Company. The shares shall be acquired on Nasdaq Stockholm at a price within the from time to time applicable range of prices (spread), meaning the interval between the highest purchase price and the lowest selling price. The purpose with the authorization is to give the Board increased freedom of action to be able to adapt the Company’s capital structure and thereby contribute to increased shareholder value.

Articles of Association
The Meeting resolved, in accordance with the Board’s proposal, to amend the Articles of Association, whereby the announcement of the notice to attend a General Meeting shall be published only in Dagens Nyheter, i.e. not in one more daily newspaper.
