Report from Skanska's Annual General Meeting At today's Annual General Meeting of Skanska AB it was decided to approve a dividend payment of SEK 16 per share and the purchase of a maximum of 10 percent of the Group's own Series B shares. The AGM also elected Eliot R. Cutler as a new member of the Board of Directors. In accordance with the Board's proposal, the Meeting approved a dividend of SEK 12 for 1999 and an extra dividend of SEK 4. The record date is May 5, 2000. In order to adjust the Group's capital structure, the Meeting decided to permit the Board to make a decision on the acquisition of the Group's own Series B shares, corresponding to a maximum of 10 percent of the total shares in the Group. The acquisition will be made on the OM Stockholm Exchange during the period prior to the next Annual General Meeting. The price to be paid for the shares will be the market price at the time of the acquisition, with a deviation that does not exceed the price interval registered at any given time. The Meeting reelected the existing Board of Bo Rydin, Claes Björk, Per- Olof Eriksson, Roger Flanagan, Sören Gyll, Finn Johnsson and Clas Reuterskiöld. Eliot R. Cutler, an attorney from Washington DC, was elected as a new member of the Board by the Meeting. Cutler, who is an expert in the environment and use of land, has been involved in major infrastructure projects for public and private clients. During the Carter Administration, Cutler worked on environmental, natural resources and energy issues.
