The board of directors of Sotkamo Silver AB (publ) (“Sotkamo Silver” or the “Company”) has, based on the authorization from the annual general meeting held on April 2, 2020, carried out a directed new share issue of 5 533 324 shares to a subscription price of SEK 3.0 (the “Directed New Share Issue”). Through the Directed New Share Issue the Company will receive proceeds of approximately MSEK 16.6 before transaction costs.

About the Directed New Share Issue

The board of directors of Sotkamo Silver has, based on the authorization from the annual general meeting held on April 2, 2020 and in accordance with the previous press release, carried out a directed new share issue of 5 533 324 shares to a subscription price of SEK 3.0. Through the Directed New Share Issue, the Company will receive proceeds of approximately MSEK 16.6 before transaction costs. The subscription price and the total number of new shares in the Directed New Share Issue was determined through a so called accelerated book building procedure and it is the board of director’s assessment that the subscription price in the Directed New Share Issue was in accordance with market conditions.

The subscription price of SEK 3.0 corresponds to a discount of approximately 12.8 percent in relation to today’s closing price on NGM Main Regulated Equity.

The reasons for the deviation from the shareholder’s pre-emption rights is to ensure the most time and cost-effective financing of the Company’s development of the silver mine as well as further diversify the shareholder base with Swedish and international institutional and professional investors.

The proceeds from the Directed New Share Issue will be used to finance the Company’s development of the Sotkamo silver mine, aiming to extend the mine’s production life with 4 – 5 years.

The Directed New Share Issue will entail a dilution of approximately 2.9 percent of the total number of outstanding shares and the total number of votes in the Company. Through the Directed New Share Issue, the amount of shares in the Company increases with 5,533,324, from 184,518,783 to 190,052,107, and the Company’s share capital increases with SEK 7,590,862.95269105, from SEK 253,131,172.862883 to SEK 260,722,035.815574.

The transaction costs are estimated to amount to approx. MSEK 1.2.

In conjunction with the Directed New Share Issue, the Company has engaged Stockholm Corporate Finance as Sole Manager and Bookrunner. Advokatfirman Schjødt acts as legal adviser to the Company and Hagberg & Aneborn Fondkommission AB is the issuing agent in the connection with the Directed New Share Issue.
