The Board of Sotkamo Silver AB (publ) ("Sotkamo Silver" or the "Company") has prepared a prospectus for share issue and trading, which has now been approved and registered by the Swedish Financial Supervisory Authority. The prospectus will also be passported to Finland.

Summary of terms

  • Existing shareholders in Sotkamo Silver on the record date 26 March 2014 have preferential right to subscribe for new shares and will for each existing share receive one subscription right. Two subscription rights will entitle to subscribe for one new share in the company.
  • The new shares will be issued at a subscription price of SEK 6 per share. For subscriptions using subscription rights registered at Euroclear Finland, payment for subscribed shares is made in EUR by payment of EUR 0,68 for each subscribed share. The subscription price in SEK and EUR, respectively, are applicable also for subscription for new shares without preferential rights.
  • Subscription for new shares will take place during the period 31 March 2014 - 14 April 2014. 
  • Issue amount: a maximum of SEK 42,478,902
  • Trading with subscription rights on NGM Equity: 31 March - 9 April 2014
  • Trading with subscription rights on NASDAQ OMX Helsinki: 31 March - 7 April 2014
  • Trading in paid subscription shares (BTA) on NGM Equity will take place from and including 31 March 2014 until the registering of the rights issue at the Swedish Companies Registration Office.
  • Trading in interim shares on NASDAQ OMX Helsinki will take place from and including 31 March 2014 until the registering of the rights issue at the Swedish Companies Registration Office.
