SpectrumOne AB announces the acquisition of the data analytics and consulting company Qbim AB

SpectrumOne announces today the acquisition of the data analytics and consulting company Qbim AB.  The purchase transaction is conducted via cash and shares, with no additional share issue to current shareholders.

Qbim deliver and implement an automated solution allowing for the easy combination of various different data sources. Based around this, Qbim provide their clients with highly sophisticated Business Intelligence and Analytics. Qbim have successfuly delivered many projects with well-known international companies. Qbim have demonstrated increases in revenues and is today a highly profitable company with very competitive net margins.

Qbim have a core focus on the following key areas:

Software as a Service (SaaS) - Qbim provide their clients with a monthly reporting solution delivering key updates on their business

Advanced Analytics and Visualization - Using historical customer and transactional data, Qbim deliver predictability patterns coupled with advanced insights to their clients across various industries

Data Warehouse – ERP - With on demand consulting, Qbim have the capacity to operate projects, supplementing their client’s IT departments. Enabling the creation of smart data stores, creating connections between various systems and specific modules within BI.

Implement & Support - Qbim deliver world class support and technical maintenance, supporting daily operations, needs analysis and project management.

These areas serve to enable IT and Business working together with a successful BI in place.

Qbim is based in Karlstad Sweden from where they have aquired clients throughout Scandinavia. Having achieved a core competence with developing and implementing highly sophisticated BI and Analytics platforms. Qbim has engaged in several projects with the higher education system in Sweden and has showed a tremendous capacity to solve their client’s data needs. Qbim has 8 employees and forecasted to have a revenue of about SEK 7.0 million and a profit of about SEK 1.5 million for the fiscal year that ends in March this year.

Acquisition terms

Under the share purchase agreement Spectrumone AB will acquire 100% of the shares in Qbim from the existing owners for a total purchase price of SEK 13,280,000. The purchase price will be settled by SEK 8,000,000 in cash and 5,280,000 in shares by setting off a sales credit of the same amount in SpectrumOne at a subscription price of SEK 1.50 per share. The cash part of the purchase price will be settled in two equal instalments. The first instalment is to be settled on the closing of the transaction together with the share consideration on closing date April 30, 2020,  while the second instalment and the share consideration will be settled on or before April 30, 2021. In addition, an additional purchase price amounting to 75 % of the profit growth between March 31, 2020 to March 31, 2021. The shares to be issued as consideration are subject to a lock up clause for a period of 12 months. In addition, the new 3,520,000 shares will be registered after the record date for the warrants described in a pressrelease earlier today and thus not eligible for participating in the said warrants issue.
