SpectrumOne announces today the acquisition of the data company Å-data Infosystem AB, a company with a strong positive cashflow and that has made profit every year the last decade. The purchase price is SEK 10,000,000 and is paid via shares in SpectrumOne AB, with no additional share issue to current shareholders. Closing is expected to take place on September 1, 2020. In the transaction is included accumulated profits from earlier years and assuming a normalized level of net working capital. The purchase price gives an EBITDA multiple of 3 based on Ådata Infosystems AB:s profit of 2019.

Since 1984, Å-data has developed, built and sold its IT solutions to small and medium-sized municipalities. Today, Å-data is a well-known player with extensive experience in both the public sector and in business systems that have been its core since the beginning. They´re known by most of the largest player who also make sure to always build combability with the Å-data system when upgraded.

After working together with Qbim the last few months we have learnt that there is an excess potential in their development competence. For many years Qbim have optimized, enhanced and further developed others´ systems. A development that have led to huge successes for others. With SpectrumOne we have taken Qbim to yet another level of development and visualization. These synergies we will now use to further create more value, more smartness and a tremendous simplicity to a company that have showed great skills in developing and commercializing a product within their enterprise planning platform.

This is yet another market where we foresee a great impact from our potential of making things simpler and accessible.  Å-data has a powerful and user friendly platform and  the market know-how for the public sector. SpectrumOne and Qbim has now a great tool and developing skills that are unmatched. We aim to co-develop and further strengthen Å-datas marketplace by making sure we give them to best possibilities to enhance their platform and expand their reach on the market. By joining us Å-data now have a consulting department to offer their clients in Sweden, thus every business they have referred to others they now have possibility to offer to their customers from an inside department. Taking our highly skilled it-developers to the public sector further creates a potent channel for us to grow and expose our platform on.

Å-data has four business sectors

Å-data Economy
Å-data Economy is made for municipal activities. The system have very good integration possibilities with other systems. Analyzes, reports with detailed selection or searching for information are done easily and quickly.

 

Debit

The Å-DATA Systems contain a number of invoicing routines. In addition to the debiting routines adapted to  business, there are also miscellaneous debits for individual invoices, and Periodic debiting for things that are not included in the business itself. Every customer has the opportunity to hold together optional functions jointly, e.g. requirements activities. Easy shipments and downloads from various payment systems are smoothly integrated.

 

Business services

With many of the customers, Å-data have seen increased pressure on the finance unit, more to do but less resources are a difficult equation. On top of this, there will be problems with competence building, replacements during holidays and fragmented tasks. Å-data can relieve the financial unit with many business services that require greater or lesser efforts, often daily. Å-data handles a large part of their customers’ accounts payable by receiving invoices daily, managing accounting and paying out the invoices.

Hosting services
Running operations on a large financial system requires a lot, but the majority of Å-datas customers have left this to be run by Å-data. Among other things, because those who have developed the system know best how to run the operation. Å-data can deliver better availability and reliability than the customers could do themselves, with reasonable costs. Supply reserve, multiple Internet connections, 24-hour monitoring with alarms, triple backups, redundant cooling units, daily offsite storage of all-important databases, etc. Å-datas responsibility goes far beyond just running servers, they make sure that the financial system is at its best make sure to keep control over data volumes, users, integrations, reconciliations, etc. Å-data offers one-supplier-point which is a big advantage for their customers is that there is one party who is responsible, regardless of whether it is a software error or a hardware error.

Acquisition terms
Under the share purchase agreement Spectrumone AB will acquire 100% of the shares in Ådata Infosystems AB from the existing owners for a total purchase price of SEK 10,000,000 to be settled in shares by setting off a sales credit of the same amount in SpectrumOne at a subscription price of SEK 2.09 per share. The subscription price has been calculated using the average price for the last 20 days of trade of SpectrumOne’s stock on Nasdaq First North Growth Market. The shares to be issued as consideration are subject to a lock up clause in accordance with which the sellers can’t sell more than 50 % of the shares for a period of 6 months.
