SpectrumOne publishes prospectus relating to the rights issue of units

SpectrumOne AB (“SpectrumOne” or the “Company”) today announces that the prospectus relating to the rights issue of units has been approved and registered by the Swedish Financial Supervisory Authority (Sw. Finansinspektionen). The prospectus, together with other information related to the rights issue of units, is now available on SpectrumOne’s website, www.spectrumone.com. The prospectus will also be available on Sedermera Fondkommission’s website (www.sedermera.se) and on the Swedish Financial Supervisory Authority’s website (www.fi.se). The subscription period for the rights issue commences on Wednesday, July 8th, 2020 and proceeds up to and including  July 22nd, 2020.

Rights issue of units in summary

Subscription period: The subscription period in the rights issue runs from and including July 8th, 2020 up to and including July 22nd, 2020.

Subscription price: Units in the rights issue are issued free of payment, i.e. no payment for subscribed units shall be made during the subscription period.

Preferential right for subscription of units:

The rights issue is directed at existing shareholders as of the record date July 3rd, 2020. The general public is not given the possibility to subscribe for units in the rights issue without the support of unit rights. Subscription without support of unit rights can only be made by subscribers who has also subscribed for units with support of unit rights, regardless whether the subscriber was a shareholder on the record date or not. Subscription forms for subscription of units will be available on SpectrumOne and Sedermera Fondkommission´s respective websites from July 8th, 2020. Shareholders, who on the record date were directly registered in Euroclear Sweden AB, receive a pre-printed allocation receipt (which declares the possession of unit rights), a subscription form, an information folder as well as the terms and conditions for the rights issue. Shareholders, whose holdings of shares in SpectrumOne were bank or nominee registered on the record date, will receive an information folder and the terms and conditions for the rights issue.

Unit rights: Each existing share in SpectrumOne on the record date gives the holder one (1) unit right, and eight (8) unit rights entitles the holder to subscribe for one (1) unit. Each unit consists of one (1) warrant of series TO 2 and one (1) warrant of series TO 3.

Trading in unit rights: July 8th  – July  20th 2020.

Trading in BTU (Sw. Betald Tecknad Unit): July 8th – until the rights issue is registered with the Swedish Company Registration Office (Sw. Bolagsverket), which is expected to take place in the middle of August 2020.

Issue proceeds: The rights issue consists of a maximum of 22 630 620 units which comprises of 45 261 240 warrants
(22 630 620 warrants of series TO 2 and 22 630 620 warrants of series TO 3).
Initially, the rights issue will not provide the Company with any issue proceeds, but the Company can receive between approximately SEK 67.9 million and approximately SEK 90.5 million before issue costs if the warrants of series TO 2 and TO 3 issued in the rights issue are fully exercised.

Terms for the warrants: Each warrant, of series TO 2 and TO 3, will give the holder the right to subscribe for one (1) new share in SpectrumOne at a subscription price corresponding to 70% of the average volume-weighted share price according to Nasdaq First North Growth Market’s official price statistics during the 10-day trading period ending two banking days before the exercise period for the respective warrant series begins. The Company will publish the subscription price at the latest the day before the first day of the exercise period. The subscription price shall not exceed SEK 2,00 per new share. The subscription price shall not be less than SEK 1,50 per new share.

Subscription of shares with TO 2

Exercise of warrants of series TO 2 can be made from 2020-11-09 until 2020-11-23.

Subscription of shares with TO 3

Exercise of warrants of series TO 3 can be made from 2021-02-19 until 2021-03-05.
