Speqta is divesting Vinklubben to Viva Wine Group for MSEK 120 cash

Speqta AB (publ) (“Speqta”) has entered into an agreement with Viva Wine Group AB (“Viva Wine Group”) to divest all shares in the subsidiary Mytaste Food & Beverage AB (“Vinklubben”). The purchase price is approximately SEK 120 million on a cash and debt-free basis, and will be paid in cash in connection with the closing. The transaction is expected to be closed at the beginning of April 2022. 

Speqta is divesting Vinklubben to the leading Nordic wine group Viva Wine Group for SEK 120 million on a cash and debt-free basis. The purchase price will be paid in cash at closing which is expected to be at the beginning of April 2022. 

Vinklubben has a leading market position within performance-based wine marketing and offers wine distributors a platform for online marketing. Vinklubben is Sweden’s largest online community for wine with approximately 1.6 million members. In 2021 the revenue amounted to SEK 22.5 million and EBITDA of SEK 12.4 million excl. management fees. Organic growth was +21% in 2021 as a result of dedicated and focused sales work in combination with favorable market conditions, increased capacity, and improved segmentation. Vinklubben currently employs four full-time employees. In Mytaste Food & Beverage AB the sites myTaste and Matklubben are also included. 

In 2021 Vinklubben launched the social media service SMART that allows wine importers to target their social media advertising for a fixed product range and link it directly to selected geographical areas and distribution levels. As a result, advertising takes place where there is distribution, which provides a better consumer experience, but also that the distribution volume for the wine importer increases for specific products.  

Viva Wine Group is a leading Nordic wine group with a strong position on the European e-commerce market for wine. The company went public on Nasdaq’s First North Premier Growth market in December 2021 and is currently growing rapidly internationally.
