Spinnova Plc: Notification of Change in Holdings according to Chapter 9, Section 10 of the Finnish Securities Markets Act (Beata Domus Ab)
Spinnova Plc (the "Company") has received a notification on 13 June 2024, according to Chapter 9, Section 5 of the Securities Markets Act, stating that Beata Domus Ab’s, a company controlled by Sebastian Langenskiöld, ownership of shares exceeds 5% of all shares and votes in Spinnova Plc. Beata Domus Ab’s ownership exceeded the notification threshold before April 19, 2024.
The notification of exceeding the ownership threshold is retroactive because of an amendment to the Securities Markets Act (HE 3/2024 vp), which came into force on April 19, 2024. The amendment extends the reporting requirements for significant ownership and voting rights, as well as the application of provisions related to public tender offers and obligation to make a tender offer, to include multilateral trading facilities such as Nasdaq First North Growth Market Finland alongside regulated markets.
