Spinnova Plc: Spinnova’s founders CEO Janne Poranen and CTO Juha Salmela transfer shares according to stock option agreements and marital settlement agreement
Spinnova Plc’s co-founders CEO Janne Poranen and CTO Juha Salmela have transferred 238,640 Spinnova shares in total to certain employees. Of the total amount of shares, Janne Poranen has transferred 119,470 shares and Juha Salmela 119,170 shares. The transfer is based on stock option agreements entered into in 2015 and 2017, entitling certain employees to purchase 251,160 shares in total from Janne Poranen and Juha Salmela at an exercise price of EUR 0.21 per share. The amount of shares linked to these option agreements, not yet exercised, totals 12,520.
Furthermore, as announced on 28 April 2022, Juha Salmela has transferred 1,302,708 Spinnova shares as a matrimonial adjusting payment based on a marital settlement agreement on 21 June 2022. Altogether, transferred shares by Juha Salmela total 1,421,878 shares.
After the share transfers, Janne Poranen holds 3,263,030 Spinnova Plc shares and Juha Salmela holds 1,960,322 Spinnova Plc shares.
Spinnova will release release related managers’ transaction releases on the transfers.
