Share issue in Storytel in conjunction with the acquisition of Finnish publishing house Gummerus Kustannus OY
As previously communicated on 17 September 2019, Storytel AB (publ), (“Storytel”) has entered an agreement for acquiring Finland’s third largest publishing house - Gummerus Kustannus OY (“Gummerus Kustannus”). As of 30 September 2019, Storytel has closed the acquisition, thus becoming owner of Gummerus Kustannus.
On 30 September 2019, Storytel acquired the Finnish publishing house Gummerus Kustannus. As previously communicated, the purchase price will partially be paid in cash and partially through the issue of Storytel shares.
The issue consists of 244,103 new class B shares. Following the issue, the share capital will amount to SEK 28,054,705. The total number of Storytel shares following the issue amounts to 56,109,410 shares, divided into 635 class A shares and 56,108,775 class B shares. The newly issued shares will represent approximately 0.87 percent of the total number of shares and votes in Storytel on a fully diluted basis. The subscription price in the issue of SEK 106.1785 was calculated as a volume-weighted average price during the last 15 trading days, up to and including the 26 September. The subscription and allotment of shares has gone according to plan and the increased Storytel share capital has been filed for registration with the Swedish Companies Registration Office.
