Surgical Science announces intention to carry out a directed share issue

Surgical Science Sweden AB (publ) (“Surgical Science” or the “Company”) hereby announces its intention to carry out a directed share issue corresponding to up to approximately 10 percent of the total number of outstanding shares in the Company to institutional investors through an accelerated book-building procedure, pursuant to the authorization granted by the annual general meeting held on 6 May 2020 (the “Directed Share Issue”). The Directed Share Issue is carried out primarily to finance the acquisition of Mimic Technologies Inc. (“Mimic”) as announced by the Company earlier today. Surgical Science has engaged Pareto Securities AB to evaluate the conditions for the Directed Share Issue.

The Directed Share Issue is intended to be resolved by the board of directors pursuant to the authorization granted by the annual general meeting held on 6 May 2020 and will be carried out with deviation from the shareholders’ pre-emptive rights. The Directed Share Issue will be directed to Swedish and international institutional investors. The price of the new shares in the Directed Share Issue will be determined through an accelerated book-building procedure, which will commence immediately after publication of this press release and end before commencement of trading on Nasdaq First North Growth Market on 21 January 2021. The book-building procedure may, at the discretion of the board of directors of the Company, close earlier or later and may be cancelled at any time and consequently, the Company may refrain from completing the Directed Share Issue. The Company will announce the outcome of the Directed Share Issue in a subsequent press release after the closing of the book-building procedure.

The purpose of the Directed Share Issue and the reasons for the deviation from the shareholders’ pre-emptive rights are to be able to carry out a capital raise in a timely and cost-effective manner in order to finance the acquisition of Mimic, whilst also further diversifying and strengthening the Company’s shareholder base.

The net proceeds from the Directed Share Issue will be used to finance: (i) the closing consideration in relation to the acquisition of Mimic and (ii) strategic corporate purposes.

Surgical Science’s cash and cash equivalents amounted to SEK 87.1 million on 31 December 2020.

In connection with the Directed Share Issue, the Company has, subject to customary exceptions, agreed to not to carry out any additional share issuances for a period of 90 days following completion of the Directed Share Issue. Members of the Company’s board of directors, management and the existing shareholders Marknadspotential AB, Semelin Kapitalförvaltning AB and Landsnora Software AB have, subject to customary exceptions, agreed to not sell shares in the Company for a period of 90 days following completion of the Directed Share Issue.
