Resolutions at Swedish Stirling’s Annual General Meeting 2021

At the Annual General Meeting (the “AGM”) of Swedish Stirling AB (publ) on 23 April 2021, which was held through postal voting without physical presence in accordance with temporary legislation, the following was resolved.

Election of Board of Directors
Sven Sahle, Andreas Ahlström, Carina Andersson, Gunilla Spongh and Erik Wigertz were re-elected as members of the Board. Sven Sahle was re-elected as Chairman of the Board and Gunilla Spongh was elected as new deputy Chairman of the Board.

Board remuneration
The AGM resolved that Board remuneration shall be paid by SEK 200,000 and SEK 250,000 to the Board members Carina Andersson and Gunilla Spongh, respectively. Remuneration to the Chairman of the Audit Committee was resolved to be paid by SEK 100,000.

Election of auditor
Öhrlings PricewaterhouseCoopers AB was re-elected as auditor of the company until the next Annual General Meeting. Öhrlings PricewaterhouseCoopers AB has informed the company that the authorised public accountant Johan Malmqvist will continue to be auditor in charge. It was resolved that auditor fees shall be paid in accordance with approved invoice.

Allocation of profit
In accordance with the proposal of the Board, the AGM resolved that no dividend is distributed and that the retained profits are carried forward to the new accounts.

Authorisation for the Board of Directors to resolve on new share issues
In accordance with the proposal of the Board, the AGM resolved to authorise the Board of Directors to resolve on new share issues. The Board of Directors is authorised to, within the scope set up by the articles of association, on one or several occasions, during the period until the next Annual General Meeting resolve on new share issues, with or without deviation from the shareholders’ preferential right. Such resolution on new share issues can be made by contribution in kind, by set-off or against cash payment. New shares issued based on the authorisation may correspond to maximum 20 per cent of the company’s share capital.
