Swedish Stirling completes a directed issue of 13.2 million shares, raising proceeds of SEK 225 million

The Board of Directors of Swedish Stirling AB (publ) (“Swedish Stirling” or the “Company”) has resolved to carry out a directed issue of 13,240,000 new shares (the “Directed Issue”). The Directed Issue generated a large interest among both new Swedish and international institutional investors, as well as certain existing shareholders. The subscription price was determined based on an accelerated book building procedure and set at SEK 17.00 per share. Swedish Stirling will raise proceeds amounting to SEK 225,080,000. 

The Board of Directors of Swedish Stirling has, based on the authorization given by the annual general meeting on 23 April 2021, and as communicated in the Company’s press release earlier today, resolved to carry out a directed issue of 13,240,000 new shares. The Directed Issue generated a large interest among both new Swedish and international institutional investors, as well as certain existing shareholders. The Directed Issue has been carried out as an accelerated book building procedure conducted by Carnegie Investment Bank AB (publ) and Bryan, Garnier & Co (“Joint Bookrunners”).

The subscription price in the Directed Issue was set at SEK 17.00 and has been determined through the book building procedure, whereby it is the Board of Directors’ assessment that the subscription price is at market terms and accurately reflects current market conditions and demand. Through the Directed Issue, Swedish Stirling will raise proceeds amounting to SEK 225,080,000 before transaction costs. The subscription price in the Directed Issue corresponds to a discount of approximately 11.0 percent compared to the closing price for the Company’s share on Nasdaq First North Premier Growth Market on 27 May 2021.

The Directed Issue entails a dilution for existing shareholders of approximately 10.5 percent of the shares and votes in the Company, based on the total number of shares and votes in the Company following the Directed Issue. Through the Directed Issue, the outstanding shares and votes will increase by 13,240,000 from 112,409,253 to a total of 125,649,253. The share capital will increase by SEK 132,400 from SEK 1,124,092.53 to SEK 1,256,492.53.

The reason for deviating from the shareholders’ preferential right in the Directed Issue was to raise capital in a time and cost-effective manner as well as to further diversify the shareholder base with Swedish and international institutional investors.

The Company intends to use the net proceeds from the Directed Issue to finance the continued commercialization of the Company’s PWR BLOK, including (i) activities to ramp-up production (ii) continued product improvement and cost reductions, (iii) sales, marketing and services activities in existing and new market and (iv) initial working capital for serial production, as well as to partly finance the production of PWR BLOK units.

In connection with the Directed Issue, the Company has agreed to a lock-up, with customary exceptions, on future share issuances for a period of 180 calendar days after the settlement date. In addition, members of the Board of Directors and the management team have undertaken to, subject to certain exceptions, not sell shares in Swedish Stirling for a period of 90 calendar days after the settlement date.
