On 5 June 2023, Symrise AG (“Symrise”) announced a mandatory public offer to the shareholders of Swedencare AB (publ) (“Swedencare”) at SEK 37.50 per share (the “Offer”). The acceptance period for the Offer commenced on 21 June 2023 and expired on 26 July 2023. As announced on 28 July 2023, the Offer was accepted by shareholders with a total of 270,521 shares in Swedencare, corresponding to a total of 0.17 percent of the share capital and votes in Swedencare.

On 3 August 2023, it was announced that Symrise had acquired additional shares in Swedencare at a highest price of SEK 47.00 and that shareholders who accepted the Offer were entitled to a compensatory consideration of SEK 9.50 per share. Further, it was announced on 18 August 2023 that Symrise had acquired additional shares in Swedencare at a highest price of SEK 47.295 per share and that shareholders who accepted the Offer were entitled to receive an additional compensatory consideration of SEK 0.295 per share, i.e. the difference between SEK 47.295 and the preceding highest price paid of SEK 47.00 per share. On 20 November 2023, it was announced that Symrise had acquired additional shares in Swedencare at a highest price of SEK 55.00 and that shareholders who accepted the Offer were entitled to a compensatory consideration of SEK 7.705 per share, i.e. the difference between SEK 55.00 and the preceding highest price paid of SEK 47.295 per share.

On 21 November 2023, Symrise has acquired an additional 800,000 shares in Swedencare through market purchases. The highest price paid for the Swedencare shares acquired outside the Offer amounts to SEK 58.50 per share. Shareholders who accepted the Offer will therefore receive an additional compensatory consideration of SEK 3.50 per share, i.e. the difference between SEK 58.50 and the preceding highest price paid of SEK 55.00 per share.

Compensation is expected to be paid out on or around 28 November 2023.

As of the date of this press release, Symrise owns 55,952,398 shares, corresponding to approximately 35.25 percent of the share capital and votes of Swedencare.
