Symrise has purchased an additional 862,580 shares in Swedencare at up to SEK 47 - will compensate those who accepted the mandatory public offer

On 5 June 2023, Symrise AG (“Symrise”) announced a mandatory public offer to the shareholders of Swedencare AB (publ) (“Swedencare”) at SEK 37.50 per share (the “Offer”). The acceptance period for the Offer commenced on 21 June 2023 and expired on 26 July 2023. As announced on 28 July 2023, the Offer was accepted by shareholders with a total of 270,521 shares in Swedencare, corresponding to a total of 0.17 percent of the share capital and votes in Swedencare.
As of 3 August 2023, Symrise has acquired an additional 862,580 shares in Swedencare through market purchases. The highest price paid for the Swedencare shares acquired outside the Offer amounts to SEK 47 per share. Shareholders who accepted the Offer will therefore receive compensatory consideration of SEK 9.5 per share, i.e. the difference between SEK 47 and the price in the Offer of SEK 37.50.
Compensation is expected to be paid out on or around 11 August 2023.
Symrise has been a strategic shareholder in Swedencare since June 2021. As announced in connection with the Offer, the intention of the Offer was to increase Symrise’s shareholding in Swedencare, but not to acquire full ownership of Swedencare. Symrise has a strong belief in Swedencare’s unique product portfolio and in its ability to further expand its leadership in premium pet healthcare.
As of the date of this press release, Symrise owns 48,894,625 shares, corresponding to 30.8 percent of the share capital and votes of Swedencare.
