Communiqué from Extraordinary General Meeting on 19 September 2017
TalkPool AG, org. No. CHE-109.047.379, held an Extraordinary General Meeting on Tuesday the 19th of September 2017. The extraordinary shareholder’s meeting resolved to:
• issue 1,496,111 shares to carry out a directed new share issue with the subscription price being SEK 22 per share. Existing shareholders shall in the allotment be prioritized in proportion to their ownership. Lenders shall in the allotment be prioritized ahead of new shareholders. These ordinary shares fall void if not allocated within 3 months.
• issue additional 1,496,111 shares and authorize the Board to decide on these approved shares, which fall void if not allocated within 2 years. This implies an update of paragraph 3a in the articles of association. 150,000 of the shares shall be reserved for a loan that may be converted to shares at a maximum price of SEK 36 per share.
• amend the wording of Article 18 of the Articles of Association regarding the implementation of the provisions of the regulation against excessive remuneration for publicly traded companies.
