Carnegie Investment Bank AB (publ) ("Carnegie"), in its capacity as stabilisation manager, notifies that stabilisation measures have been undertaken in the shares of tbd30 AB (publ) (“tbd30” or the “Company”) which are traded on Nasdaq Stockholm.

As announced in connection with the offering to acquire newly issued class A shares in the Company and the listing of the Company’s class A shares on Nasdaq Stockholm (the ”Offering”), Carnegie may, acting as stabilisation manager, carry out transactions aimed at supporting the market price of the shares at levels above those which might otherwise have prevailed in the market.

Stabilisation transactions may be undertaken on Nasdaq Stockholm, in the over-the-counter market or otherwise, at any time during the period commencing on the first day of trading in the class A shares on Nasdaq Stockholm, 24 June 2021, and end no later than 30 calendar days thereafter. However, Carnegie has no obligation to undertake any stabilisation measures and there is no assurance that stabilisation measures will be undertaken. Under no circumstances will transactions be conducted at a price higher than the one set in the Offering, i.e. SEK 100. Stabilisation measures, if conducted, may be discontinued at any time without prior notice but must be discontinued at the latest within the above-mentioned 30-day period.

Stabilization takes place through Carnegie having the opportunity to repurchase a maximum of the 400,000 class A shares in the overallotment option. Class A shares acquired by Carnegie as part of stabilisation measures will be transferred to the Company free of charge after the end of the stabilisation period. The class A shares that are not repurchased within the framework of stabilisation will continue to be held by investors and proceeds for these class A shares will, like proceeds from the Offering, be placed in the restricted account and handled the same way as the proceeds from the Offering. The Company’s board of directors intends to propose to the next annual general meeting on 17 September 2021 that such shares held by the Company, as well as associated investor warrants 1, shall be redeemed by the Company.
